The ideal candidate will possess expertise in drafting and negotiating complex limited partnership/limited liability company agreements, structuring joint venture investment transactions, and private fund formation work. Knowledge of SEC investment advisory regulations is required, and substantive private MA experience is a plus. Duties:Draft and negotiate complex limited partnership/limited liability company agreements, including side letters.Structure joint venture investment transactions.Assist in private fund formation work for sponsors and/or investors.Ensure compliance with SEC investment advisory regulations. Requirements:4-6 years of substantive experience in relevant areas.Substantive private MA experience is a plus. Education:Juris Doctor (J.D.) degree from an accredited law school. Certifications:Admission to the Texas State Bar (or ability to waive in). Skills:Proficiency in drafting and negotiating legal agreements.Strong understanding of limited partnership/limited liability company structures.Knowledge of SEC investment advisory regulations.Excellent communication and interpersonal skills.Ability to work effectively in a team environment.Attention to detail and ability to manage multiple tasks efficiently.
