General Counsel & Chief Compliance Officer SUMMARY: The General Counsel & Chief Compliance Officer (GC/CCO) is responsible for advising DMEA and its subsidiaries concerning their legal rights, obligations, duties, and privileges to ensure compliance with their governing documents and applicable laws and regulations. The GC/CCO provides day-to-day leadership and oversees the ongoing operations related to Legal Affairs, Human Resources, Safety and Records Management. The GC/CCO is responsible for the development, application and evaluation of organizational structure, strategic planning and management programs, policies, methods and procedures within these areas of responsibility. The GC/CCO will embody and promote a culture of safety and good faith. All respective activities will be accomplished through a respectful, constructive style, guided by DMEA's mission, values, and vision. CERTIFICATES AND LICENSES: Must at all times maintain a license in good standing to practice law in the State of Colorado. A valid driver's license and satisfactory motor vehicle record is also required. QUALIFICATIONS AND EXPERIENCE: Juris Doctor (J.D.) from an American Bar Association accredited law school. Minimum of (10) ten years of legal experience, in-house, private practice, or government. Experience with utility law including distribution, transmission, and electric power generation. Knowledge of telecommunications law including the provisioning of fiber optic network services. Demonstrated legal work in specific areas including, but not limited to, contracts, land use, and human resources. Ability to conduct complex research. Acute attention to detail and production of high-quality work products. Strong organizational and time management skills. Excellent written, oral, and analytical skills. Proven strategic and critical thinking. Capacity to offer both risk analysis and supportive solutions. Understanding of non-for-profit electric cooperatives and for-profit subsidiary business models. ESSENTIAL JOB FUNCTIONS: Serves as General Counsel for DMEA and its subsidiaries. Serves as the Chief Compliance Officer along with all relevant responsibilities. Oversees daily operations of Safety, Human Resources and Records Management departments. Supports staff at all levels with expertise, analysis and insight for effective decision making. Manages outside counsel unless the Board of Directors has directly engaged outside counsel for a specific governance purpose. Represents DMEA and its subsidiaries, as necessary, in administrative, legislative, regulatory, or other legal proceedings. Anticipates and identifies legal issues and provides counsel to develop strategies and solutions. Investigates, researches, and provides legal advice concerning a broad range of issues and circumstances. Prepares, reviews, and/or negotiates legal documents necessary to conduct business operations. Reviews and interprets legislation, rules, and regulations, as applicable. Participates in the development and evaluation of DMEA and subsidiary governing documents and procedures and makes recommendations for revisions. Represents DMEA and its subsidiaries in a professional manner to all external stakeholders. Assists in the interpretation, implementation, and development of strategic plans. Serves as an engaged, complementary, and supportive member of the executive leadership team. Assists the senior leadership team with developing plans and recommending resources to achieve departmental objectives through the annual budgeting process, including defining, submitting, and controlling budget costs for their respective areas of responsibility and monitoring expenditures to ensure budget compliance. Interviews, hires, rewards, disciplines, and terminates, as necessary, respective team members. Assures all employees within respective areas of responsibility are supervised, guided, and developed to attainable successful performance; reviews, determines, addresses and documents performance of subordinates; and recommends wage and salary adjustments in accordance with company policies and in support of company values and objectives. Creates, expands and/or maintains professional and productive working relationships with peers and external stakeholders. Works collaboratively with colleagues and fosters a spirit of cooperation in the workplace. Strives to increase their professional, industry and organizational knowledge through continuing education, conferences, organizations, field visits, or any other productive means. Fulfills timely and professionally tasks and expectations outlined and set forth by supervisor. Performs other such duties as may be requested or assigned to fulfill the needs of DMEA and its subsidiaries in the interest of good business practice. OTHER DUTIES AND RESPONSIBILITIES: GC/CCO will participate in Board of Directors regular, special and, as needed, committee meetings. GC/CCO may be required to interact with the Board President or the Board of Directors on specific governance matters. KNOWLEDGE, SKILLS AND ABILITIES: Position requires supervisory knowledge including personnel practices; budgeting, general accounting and fiscal management practices; office procedures and business operating systems; and the appropriate methods and means of dealing with human behavior situations in a variety of business circumstances. The role necessitates, as related and necessary to its fulfillment, communicating effectively, verbally and in writing, in a diverse range of audiences and settings; persuasion and negotiation of conflicts and problems; assessing operational program, staff, and fiscal needs; interpreting legal documents and government regulations; evaluating fiscal and financial reports, forms, and data; analyzing complex written documents; identifying and resolving administrative problems; working long and irregular hours, and under pressure conditions; delegating responsibility and achieving results through subordinates; and maintaining order in an environment of changing priorities. The position also requires the understanding and ability to interpret union contracts, agreements, and administrative and HR policies to properly apply provisions to supervising and directing the work of subordinates. The position requires understanding and using the concepts of effective performance recognition, coaching, documentation, and discipline. ESSENTIAL PHYSICAL AND MENTAL REQUIREMENTS: Requires frequent sitting, standing, walking and use of keyboard/computer; and occasional bending, kneeling, reaching and occasionally lifting 25 pounds. Requires finger dexterity, good vision and hearing, ability to speak and the ability to perform close work.
